1. The agreement
These terms are an agreement between INVERT LLC ("we", "us") and the firm or person that opens a Smartnatic account ("you"). By creating an account or using the service you accept them. If you accept on behalf of a firm, you confirm you have the authority to do so. Smartnatic is a tool for businesses and professionals, not for consumers.
2. Your account
- The person who opens the account is its owner and decides who else joins and what role each person has.
- People join by invitation and choose their own password. Each person needs their own sign-in. Do not share one.
- Keep sign-in details safe and tell us promptly if you think someone else has used your account.
- You are responsible for what the people you invite do in your account, including clients and consultants.
3. Free trial
New firms get 14 days free, with no card needed. The trial includes everything except the AI Advisor and the free website. If you do not choose a plan when it ends, the account becomes read-only. Nothing is deleted, and you can still export your data.
4. Plans and payment
- Seats. You pay for each active person inside your practice at the price shown on our pricing page. Clients and consultants are free. Your first three site-team members are free.
- Projects. The included number of active projects and the price of further ones are shown on the pricing page. Archived and completed projects do not count.
- Add-ons and credits. The construction add-on is charged per firm. AI Advisor credits are included with Advisor seats, can be topped up, and do not roll over.
- Billing. Monthly plans are charged monthly in advance. Annual plans are charged yearly in advance at the discounted rate shown. A seat added part-way through a period is charged pro rata. A seat removed is credited against your next invoice.
- Taxes. Prices exclude VAT, sales tax and similar taxes, which are added where they apply.
- Price changes. We will give at least 30 days' notice of any price increase. It takes effect from your next renewal, and you can cancel before then.
- Late payment. If a payment fails we will tell you and try again. If it remains unpaid for 14 days we may make the account read-only until it is settled.
- Refunds. You can cancel at any time and the plan runs to the end of the period you have paid for. We do not refund part-used periods, unless the law requires it or we end the agreement without cause.
5. Your data
Everything your firm puts into Smartnatic belongs to your firm. We claim no ownership of it. You give us permission to store, process and display it only so that we can provide the service to you.
You are responsible for having the right to put that data into the service, including personal data about your staff, clients and contacts. Where we process personal data for you, we do so as your processor, as described in our Privacy Policy. If you need a signed data processing agreement, ask us at privacy@smartnatic.com.
You can export your data at any time, including after a trial ends and for 30 days after you cancel.
6. Acceptable use
Please do not, and do not let anyone else:
- use the service for anything unlawful, or upload material you have no right to use;
- try to get into accounts or data that are not yours, or test the security of the service without our written agreement;
- upload malware, or use the service to send spam;
- overload the service, scrape it, or get around seat, project or credit limits;
- resell the service or copy it to build a competing product.
We may suspend an account that seriously or repeatedly breaks these rules. Where we reasonably can, we will warn you first.
7. Our software
We own Smartnatic: the software, its design, its templates and its name. We give you a non-exclusive, non-transferable right to use it for your own practice while your account is active. The standard phase templates and standard document wording are there for you to use and adapt in your own work.
If you send us ideas or feedback, we may use them to improve the service without owing you anything.
8. Connected services
Smartnatic can connect to other services, such as OctopusWave, CallSophia and Postspool. Those services are provided by their own companies under their own terms and prices. When you connect one, you ask us to exchange the necessary data with it. We are not responsible for a service we do not provide. Member discounts on partner services are offered by those partners and may change.
9. Documents and figures are your responsibility
Smartnatic produces fee proposals, appointment agreements, invoices, cost reports and other documents from the information you enter. The standard wording is a starting point, not legal advice. Tax rates, currency rates and fee calculations depend on the settings and figures you provide. Please review every document before you send or sign it, and have your own lawyer and accountant check wording and figures that matter.
Answers from the AI Advisor are generated automatically from your data. They can be wrong. Treat them as a prompt to look, not as a decision.
10. Availability and support
We work to keep Smartnatic available at all times, and we will give notice of planned maintenance where we can. We do not promise uninterrupted service. We take regular backups. Support is by email at hello@smartnatic.com and through the Report an issue button in the app. We may improve, change or retire features, and we will give reasonable notice before removing anything important.
11. Ending the agreement
- You can cancel at any time from Account, Subscription. The plan runs to the end of the paid period.
- We can end the agreement with 30 days' notice, in which case we refund any period you have paid for and not used. We can end it immediately if you seriously breach these terms or do not pay.
- Afterwards you have 30 days to export your data. We then delete it as described in the Privacy Policy.
12. Liability
We provide the service with reasonable skill and care. Beyond that, and as far as the law allows, the service is provided "as is", without any other warranty.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, for intent or gross negligence, or for anything else that cannot be limited by law.
Otherwise, neither of us is liable to the other for loss of profit, revenue, business or goodwill, or for indirect or consequential loss. Our total liability to you in any 12-month period is limited to the amount you paid us for the service in those 12 months.
13. Governing law
These terms are governed by the laws of the State of Wyoming, United States. The courts of the State of Wyoming, United States have jurisdiction, without affecting any mandatory rights you have where you are based.
14. Changes to these terms
We may update these terms. If a change matters, we will tell account owners by email or in the app at least 30 days before it takes effect. If you do not agree, you can cancel before then. Continuing to use the service after the change means you accept it.
